Welcome to Toolkary. These Terms & Conditions (“Terms”) govern your access to and use of the website toolkary.com and the purchase of digital products from us (“Toolkary”, “we”, “us”, or “our”). By accessing the site or placing an order, you agree to these Terms. If you do not agree, please do not use the site.
1. Who we are
Toolkary is an online store that sells digital downloads — printable calendars, planners, spreadsheets and business templates. Products are delivered electronically; nothing is physically shipped. You can reach us any time at support@toolkary.com.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a legally binding contract to purchase from us.
3. Your account
You may create an account to access your orders and re-download your files. You are responsible for keeping your login details secure and for all activity under your account. Please give accurate, current information when you register or check out.
4. Products & their digital nature
All products sold on Toolkary are digital files (for example PDF, Microsoft Excel, Microsoft Word, and ZIP archives). Product descriptions state what each item contains and which formats are included. We make reasonable efforts to describe and display products accurately, but we do not warrant that every description, color, or detail is complete or error-free.
5. Pricing & currency
All prices are shown on the product pages in US Dollars (USD) and are exclusive of any taxes that may apply. We may change prices at any time, but changes will not affect orders already placed. If a product is listed at an incorrect price due to an error, we may cancel the order and refund any amount paid.
6. Orders & payment
When you place an order you make an offer to purchase the selected products. Payments are processed securely by our third-party payment processor, Stripe. By paying, you authorize us (through Stripe) to charge your chosen payment method for the total amount shown at checkout. We do not collect or store your full card details — card data is handled directly by Stripe under its own terms and security standards. We reserve the right to refuse or cancel any order (for example where fraud is suspected), in which case we will refund any payment taken.
7. Delivery of digital products
Access to your files is provided immediately after your payment is confirmed. Download links appear on the order-confirmation page and are emailed to you, and they are also available in your account. Because delivery is electronic and instant, there is no shipping and no delivery charge. See our Delivery Policy for details.
8. License & permitted use
When you buy a product, we grant you a non-exclusive, non-transferable, worldwide license to use the files for your own personal and internal business purposes. Unless a product page expressly says otherwise, you may not:
- resell, sublicense, rent, or redistribute the files (in whole or in part);
- share, upload, or make the files publicly available for others to download;
- claim the files as your own original work or remove our branding where present; or
- use the files in any unlawful way.
We retain all ownership of the products; you are buying a license to use them, not the copyright in them.
9. Intellectual property
All content on this site — including the products, text, graphics, logos, and the Toolkary name — is owned by us or our licensors and is protected by intellectual-property laws. Your license under Section 8 is the only right you receive; no other rights are granted.
10. Refunds & cancellations
Because our products are digital and delivered instantly, sales are generally final. We do offer refunds in specific situations (for example a faulty or misdescribed file). Please read our Refund & Cancellation Policy, which forms part of these Terms.
11. Prohibited conduct
You agree not to misuse the site, including by attempting to gain unauthorized access, interfering with its operation, introducing malicious code, scraping content, or using it to violate any law or the rights of others.
12. Third-party services
We rely on trusted third parties to operate the store, including Stripe (payments) and our hosting and email providers. Your use of those services may be subject to their own terms and privacy policies.
13. Disclaimer of warranties
The site and products are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law. Our products are provided for general informational and organizational purposes and are not legal, financial, tax, or professional advice.
14. Limitation of liability
To the fullest extent permitted by law, Toolkary and its owners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the site or products. Our total liability for any claim will not exceed the amount you paid for the product giving rise to the claim.
15. Indemnification
You agree to indemnify and hold Toolkary harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the products.
16. Changes to the service and these Terms
We may update the site, the products, or these Terms at any time. Material changes will be posted on this page with a new “last updated” date. Your continued use of the site after changes take effect means you accept the revised Terms.
17. Governing law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules. You agree that the state and federal courts located in Wyoming will have exclusive jurisdiction over any dispute that is not resolved informally.
